English|Secondhand Dealer License for a Foreign Company’s Japan Branch
Supporting an Application with Overseas Business Documents
Tatekawa Administrative Scrivener Office in Sagamihara, Kanagawa, assisted a foreign company with its application for a secondhand dealer license for operations through its Japan branch. The license was subsequently granted following examination.
The case required careful comparison of documents issued overseas with the company’s registration records in Japan.
Clarifying Company and Representative Information
Company names, personal names and organizational terms can appear differently in overseas documents and Japanese records.
We reviewed the business registration certificate, Japanese registry records and documents relating to the company’s officers. We organized the information to clarify:
- How the overseas business name corresponded to the registered name in Japan.
- How officers’ names in foreign-language documents corresponded to their names in Japanese records.
- The respective roles of the overseas officers, the representative in Japan and the manager of the business premises.
- The relationship between the documented business activities and the proposed operations in Japan.
The work involved more than translation: the documents needed to explain consistently which business and individuals they referred to.
Preparing an Affidavit in Place of Articles of Association
The business did not hold a document equivalent to Japanese articles of association.
For this application, we prepared an affidavit explaining the business and the absence of an equivalent document. The affidavit was signed and certified in the home country. We also prepared a Japanese translation and a report explaining why it was being submitted.
This was an approach used in this particular case. An affidavit is not automatically accepted as a substitute for articles of association in every application. The required content, supporting documents and certification must be confirmed with the police station handling the application.
Organizing Translations and Application Documents
We prepared Japanese translations with translation certifications for the affidavit, business registration certificate and relevant overseas identification documents. We also prepared the application form, personal history statements and written declarations.
The application was subsequently approved, and a secondhand dealer license was granted.
This case illustrates the importance of reconciling overseas documents with Japanese registration records and explaining differences clearly.
